Vendor Terms
1. Definitions
-Platform: LivingConnect, the WhatsApp Business API platform provided by the LivingSpark Global Tech Pvt Ltd.
- Vendor: The business or individual entity using the Platform to communicate with their customers.
- Customer Data: Any information provided by or relating to customers interacting with the Vendor via the Platform.
2. Vendor Responsibilities
- Account Setup: The Vendor must provide accurate information for account setup and maintain the confidentiality of their login credentials.
- Compliance: The Vendor must ensure that their usage of the Platform complies with all applicable laws, including but not limited to data protection, privacy, and marketing laws.
- Prohibited Content: Vendors must not use the Platform to send:
Unsolicited messages (spam);
Offensive, abusive, or illegal content;
Fraudulent or misleading information.
- Customer Consent: Vendors must obtain explicit consent from their customers before sending any messages via the Platform.
- Message Volume: Vendors must adhere to the message volume limits specified in their service plan.
3. Company Responsibilities
- Platform Access: The Company will provide access to the Platform and ensure its operational availability, subject to scheduled maintenance and unforeseen downtime.
- Support: The Company will provide technical support for Platform-related issues.
- Data Security: The Company will implement industry-standard measures to protect Vendor and Customer Data.
4. Fees and Payments
- Subscription Fee: Vendors must pay the applicable subscription fees as outlined in the service agreement.
- Payment Terms: Payments must be made within the specified timeline to avoid service interruptions.
- Refund Policy: Fees are non-refundable except as explicitly stated in the service agreement.
5. Data Privacy and Ownership
- Data Ownership: Vendors retain ownership of all Customer Data processed through the Platform.
- Data Usage: The Company will only use Customer Data as necessary to provide the Platform services.
- Confidentiality: Both parties agree to maintain the confidentiality of proprietary or sensitive information shared during the term of this agreement.
6. Termination
- By Vendor: Vendors may terminate their subscription by providing 30 days' written notice to the Company.
- By Company: The Company reserves the right to terminate access to the Platform for non-compliance with these Terms or for non-payment.
- Post-Termination: Upon termination, the Vendor's access to the Platform will cease, and the Company will delete all associated data within 30 days unless legally required to retain it.
7. Limitation of Liability
The Company is not liable for any indirect, incidental, or consequential damages arising from the use of the Platform. The maximum liability is limited to the subscription fees paid by the Vendor in the 12 months preceding the claim.
8. Indemnification
The Vendor agrees to indemnify and hold the Company harmless from any claims, damages, or liabilities arising from their misuse of the Platform or breach of these Terms.
9. Miscellaneous
- Amendments: The Company reserves the right to update these Terms at any time with prior notice to the Vendor.
- Entire Agreement: These Terms, along with the service agreement, constitute the entire agreement between the parties.
- Force Majeure: The Company is not liable for failure to perform due to events beyond its reasonable control, such as natural disasters or technical outages.
